- Pursuant to a resolution of the Board of Directors at its July 23, 2024 meeting, the members will vote whether to approve the filing of a restated Certificate of Incorporation to update the Corporation’s purposes to align with its actual 21st Century operations, to streamline governance operations by vesting the Corporation’s powers in a self-perpetuating board of directors, and to eliminate the current corporate membership governance structure, and to make other technical changes required by changes in New York law and the proposed governance by a self-perpetuating board of directors structure.
